Terms of Use

The terms that govern your use of this website and the Pynpoint client portal.

1. Who we are and what these terms cover

This website is operated by Pynpoint Nig Ltd ("Pynpoint", "we", "us", "our"), a company incorporated in Nigeria with registration number RC100271 and registered office at 151 Lola Holloway Street, Omole Phase 1, Ikeja, Lagos State, Nigeria.

These Terms of Use govern your access to and use of [DOMAIN] (the "Site"). By accessing or using the Site you agree to them. If you do not agree, please do not use the Site.

The Site includes pages that are open to anyone, and secure areas that require an account. Different terms apply to each, and section 3 explains which.

2. Changes to these terms

We may amend these terms from time to time. The version in force is the one published here, and the date at the foot of this page tells you when it was last changed. Continuing to use the Site after a change takes effect means you accept the amended terms. We will not notify you individually of a change to this page.

3. What the public pages are, and what they are not

Everything on the open pages of this Site — descriptions of our services, coverage, turnaround, assurance standards, tolerances or any other operational detail — is published for general information. None of it is an offer capable of acceptance, a representation as to what we will deliver in any particular case, or a term of any contract between us and you.

Pynpoint supplies verification services only under a separate written agreement signed by both parties. Until such an agreement is executed:

  • no service relationship exists between us, whatever has been discussed;
  • nothing on the Site, and nothing said in correspondence arising from it, binds us as to scope, standard, price, turnaround or availability; and
  • submitting an enquiry does not place an order and does not oblige us to accept instructions.

Where anything on the open pages conflicts with an executed service agreement, the executed agreement prevails in all respects.

4. Client accounts and the client portal

Access to the client portal is granted only to organisations that have executed a service agreement with us, and to the individual users those organisations nominate. Use of the portal is governed by that service agreement; where it conflicts with these terms, the service agreement prevails.

If you are a user of the client portal:

  • you are responsible for keeping your login credentials confidential, and for everything done under your login;
  • you must notify us without delay if you believe your credentials have been compromised;
  • you must not share a login between individuals, and each person who needs access must be invited as a separate user with the appropriate role;
  • you confirm that you are authorised by your organisation to submit the addresses you submit, and that your organisation has a lawful basis for having them verified; and
  • you must not submit an address for any purpose other than a legitimate verification need — the portal must not be used to locate an individual for harassment, intimidation, debt enforcement outside a lawful process, or any similar purpose.

We may suspend an account or a user where we reasonably believe this section has been breached.

5. API access and credentials

Where your organisation is granted access to our application programming interface, the following apply in addition to section 4.

  • API credentials are issued to your organisation, are confidential, and must be stored securely. You must not embed them in client-side code, publish them, or share them outside your organisation.
  • You must notify us without delay if you believe a credential has been exposed, and we may revoke and reissue a credential at any time where we reasonably believe it has been compromised.
  • You must observe any rate limit, request quota or usage restriction we notify to you, and must not circumvent one. We may throttle or suspend access where usage threatens the stability of the service or exceeds what your service agreement provides for.
  • You must not use the API to extract, replicate or build a derivative dataset of our records beyond the verification results your organisation requested, and must not use it to develop, train, market or operate a competing service.
  • We may change the API, including by deprecating an endpoint, on reasonable notice. Where a change is required for security we may make it without notice.

6. Funds held in the portal

Where your organisation funds its account in advance, those funds may be applied only against verification work submitted by your organisation. They are not a deposit, they do not bear interest, and they are not repayable on demand except as provided in your service agreement. Amounts held against submitted work are reserved until the work is completed or released, as described in your service agreement.

7. Agent applications

Applying to become a Pynpoint field agent does not create a contract of employment, a contract for services, or any entitlement to work. Applications are assessed at our discretion, including identity, bank account and guarantor checks, and we are not obliged to give reasons for declining one. Where an application is successful, the relationship is governed by separate engagement terms provided at that point.

8. Report verification facility

The Site may provide a facility allowing the holder of a Pynpoint verification report to confirm that the report has not been altered since we issued it, by entering its reference and seal value.

That facility confirms one thing only: whether the record we hold matches the document presented. It does not confirm that the person presenting the report is entitled to hold it, it does not reproduce the contents of the report, and it is not an endorsement of any use to which the report is being put. We may withdraw or suspend it at any time. You must not use it to test values at scale, to enumerate references, or to seek information about a report you do not lawfully hold.

9. Enquiries and information you send us

If you contact us through the Site, you agree that the information you send is accurate and that you are entitled to send it.

Please do not send us personal data about other people through a contact form or by email. In particular, do not submit names, addresses, identification numbers or photographs relating to a person you wish to have verified. Enquiry channels are not secure and are not the route by which verification instructions are received. If you send us such data unsolicited we will delete it, and we may be unable to action your enquiry.

10. Acceptable use

You may view, download and print material from the open pages of the Site for your own internal reference. You must not:

  • use the Site for any unlawful purpose, or in breach of the Nigeria Data Protection Act 2023 or the Cybercrimes (Prohibition, Prevention etc.) Act 2015;
  • copy, republish, resell, frame or systematically extract material from the Site without our written permission;
  • use any automated means to access, monitor or copy the Site, except that a publicly operated search engine may index the open pages in the ordinary way;
  • attempt to gain unauthorised access to the Site, any account, or any system or network connected to it, or probe, scan or test its security;
  • introduce any virus, worm, malicious code or other harmful material;
  • impersonate Pynpoint, hold yourself out as our agent, partner or field personnel, or suggest an association or endorsement that does not exist; or
  • use anything obtained from the Site to develop, train, market or operate a competing service.

11. Intellectual property

All content on the Site — text, graphics, logos, images, layout, report formats and templates, the Pynpoint name and marks, and the selection and arrangement of all of it — is owned by or licensed to Pynpoint and protected by Nigerian and international intellectual property law. Nothing on the Site grants you any licence or right in that material beyond the limited right of reference in section 10.

You may link to the Site’s home page provided you do so fairly and lawfully and in a way that does not damage our reputation or suggest an association that does not exist. We may withdraw permission to link at any time.

12. Accuracy and availability

We take reasonable care over what we publish, but the Site is provided on an "as is" and "as available" basis. We do not warrant that the material on it is accurate, complete or current, that the Site or the portal will be uninterrupted or error-free, or that they are free of viruses or other harmful components. We may change, suspend or withdraw the Site or any part of it at any time. Availability commitments for the client portal, where any are given, are set out in the applicable service agreement and not here.

14. Limitation of liability

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be excluded under Nigerian law.

Subject to that, and to the fullest extent permitted by law:

  • we exclude all conditions, warranties, representations and other terms that might otherwise be implied into these terms;
  • we are not liable for any loss or damage arising out of or in connection with use of, or inability to use, the Site, or reliance on any material published on its open pages;
  • we are not liable in any event for loss of profit, revenue, business, anticipated savings, goodwill or reputation, for loss or corruption of data, or for any indirect or consequential loss; and
  • our total aggregate liability arising out of or in connection with the Site and these terms shall not exceed [AMOUNT TO CONFIRM].

This section does not affect our liability under any executed service agreement, which contains its own liability provisions and is not limited by this page.

15. Privacy and cookies

Our Privacy Policy explains what personal data we handle, on what basis, who we share it with, how long we keep it, and what rights you have under the Nigeria Data Protection Act 2023. It is incorporated into these terms by reference.

[COOKIES — one of the following, depending on what is built: The Site uses only cookies strictly necessary for it to function and for keeping you signed in, and does not use analytics, advertising or tracking cookies. / The Site uses cookies as described in our Cookie Notice at [URL]; where consent is required we will ask for it before any non-essential cookie is set.]

16. Suspension and termination

We may terminate or suspend your access to the Site or to any account at any time where we consider it necessary, including where we reasonably believe you have breached these terms. Sections 11, 14, 17 and 18 survive termination.

17. General

If any provision of these terms is found invalid or unenforceable, the remaining provisions continue in full force. A failure or delay by us in enforcing any provision is not a waiver of it. A person who is not a party to these terms has no right to enforce them. These terms, together with the Privacy Policy, constitute the entire agreement between you and us in relation to your use of the Site.

18. Governing law and jurisdiction

These terms, and any dispute arising out of or in connection with them, are governed by the laws of the Federal Republic of Nigeria, and the courts of Lagos State shall have [exclusive / non-exclusive] jurisdiction.

19. Contact

Questions about these terms may be sent to [LEGAL CONTACT EMAIL] or by post to Pynpoint Nig Ltd, 151 Lola Holloway Street, Omole Phase 1, Ikeja, Lagos State, Nigeria.
